League Partner Terms of Service — Partnership Questionnaire, Data Use, AI Processing & Collaboration

Applies to: Any League, Federation, Organizer, Vendor, or Third-Party Organization ("Partner") that submits a partnership questionnaire, provides data or documentation, or engages in onboarding or ongoing collaboration with ALT Sports Data, Inc.


PLEASE READ THESE TERMS CAREFULLY. BY CHECKING "I AGREE," CLICKING "SUBMIT," OR OTHERWISE SUBMITTING INFORMATION THROUGH THE ALT SPORTS DATA PARTNERSHIP QUESTIONNAIRE OR ANY ASD-MANAGED COLLABORATION SYSTEM, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS ON BEHALF OF THE LEAGUE OR ORGANIZATION YOU REPRESENT. IF YOU DO NOT AGREE, DO NOT SUBMIT THE QUESTIONNAIRE OR PROVIDE INFORMATION TO ASD.


1.  Overview and Acceptance
1.1  These Terms of Service ("Terms") form a binding agreement between ALT Sports Data, Inc. ("ASD," "we," "us") and the league, federation, organizer, vendor, or third-party organization identified in the questionnaire or onboarding materials ("Partner," "you," "your"). They govern how ASD collects, uses, processes, protects, and retains information you provide during the questionnaire stage, onboarding, integration, and any ongoing collaboration.

1.2  You accept these Terms by any of the following: (a) checking the "I agree" box and submitting the ASD League Partnership Questionnaire, (b) providing documentation, API access, or data to ASD, (c) joining an ASD-managed collaboration system (Slack, Atlassian/Confluence/Jira/Bitbucket, shared Google Drive, or similar), or (d) interacting with an ASD-operated tool, bot, or automated workflow.

1.3  These Terms apply from the moment of acceptance and continue for the duration of ASD's evaluation, onboarding, and any resulting partnership, subject to the survival provisions in Section 17.

1.4  Submission of the questionnaire is for evaluation only and does not, by itself, create a partnership, contract, financial obligation, data license, or exclusivity commitment between you and ASD. Any resulting commercial relationship will be governed by a separate written partnership, data license, or services agreement.

2.  Authority and Eligibility
2.1  You represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you are a duly authorized representative of the Partner organization with the legal authority to bind it to these Terms; (c) the information you submit is accurate, current, and complete to the best of your knowledge; and (d) your submission and the information it contains do not violate any contract, law, or third-party right applicable to you or the Partner.

2.2  If you are submitting on behalf of multiple affiliated entities (for example, a parent league and its sanctioning body), these Terms apply to each entity identified in the submission.

3.  What Information ASD Collects
ASD collects and processes the following categories of information from Partners:

3.1  Contact and Business Information
Names, titles, email addresses, and phone numbers of Partner representatives and designated contacts
Organization name, acronym, jurisdiction, business registration, and address where relevant to the partnership

3.2  League and Sport Information
Sport classification, sport type, discipline, league format, audience size, geographic footprint, competition calendar, governance structure, and commercial model disclosed through the questionnaire or follow-up materials
Historical and real-time sport data, schedules, rosters, results, and related content made available to ASD through APIs, data feeds, or files under the applicable data license or partnership agreement

3.3  Submitted Documentation
Onboarding questionnaires, partnership applications, technical specifications, API documentation, data dictionaries, field specifications, data mapping documents, rulebooks, operational guides, rights decks, and any other materials you submit to ASD during evaluation, onboarding, or ongoing collaboration

3.4  Collaboration System Content
Messages, files, comments, tickets, and other content you post or create within ASD-managed collaboration systems, including Slack channels (including Slack Connect), Atlassian environments (Confluence, Jira, Bitbucket), shared Google Drive folders, and similar platforms (see Section 7)

3.5  Bot and Workflow Interactions
Questions, prompts, mentions, commands, and structured requests you submit to ASD-operated bots, agents, or automated workflows (including Community Notes-style interactions, app_mention commands, and similar) within ASD-managed environments (see Section 8)

3.6  Derived and Generated Information
Classifications, tier scores, schema mappings, entity crosswalks, summaries, embeddings, and other outputs ASD generates by analyzing the materials you submit

4.  How ASD Uses Your Information
ASD uses the information described in Section 3 for the following purposes:

4.1  Onboarding and Evaluation
Evaluating your league for partnership readiness, tier classification, market fit, and integration feasibility
Reviewing submitted documentation to understand your data structure, sport rules, governance, and operational model
Routing your submission internally to the appropriate product, data, commercial, or partnership team

4.2  Integration and Product Development
Mapping your data formats, field definitions, and API specifications into ASD's canonical schemas and internal data models
Building, testing, and maintaining data pipelines and integrations between your systems and ASD's platform
Developing and improving ASD's sports data, analytics, risk, and business intelligence products

4.3  AI-Assisted Processing
ASD uses Approved Enterprise AI Tools and ASD-controlled AI infrastructure to process Partner documentation, map schemas, classify league characteristics, generate draft contract templates, summarize onboarding materials, and support integration workflows. AI processing of your information occurs within ASD-controlled infrastructure or under enterprise agreements that include a Data Processing Agreement ("DPA") and a "no training on customer data" commitment. ASD does not input confidential Partner materials into consumer or unapproved AI services.

4.4  Business Operations
Contract generation, partnership management, invoicing, compliance, audit, and recordkeeping
Internal reporting, analytics, benchmarking, and cross-portfolio operational improvement using anonymized and aggregated data (see Section 5.3)

4.5  Communication and Support
Responding to your questions, providing technical and onboarding support, and maintaining the ongoing partnership relationship
Sending you operational, security, or policy notices related to your submission or partnership

5.  Intellectual Property and Derived Work Product
5.1  Your Source Materials
You retain ownership of the source materials you provide to ASD, including your original data dictionaries, API documentation, league rulebooks, questionnaire responses, and raw sport data feeds, subject to the license you grant in Section 5.2 and the license rights granted under any applicable partnership or data license agreement.

5.2  License to ASD
You grant ASD a worldwide, non-exclusive, royalty-free, sublicensable (to ASD's service providers and subprocessors acting on its behalf) license to host, store, process, reproduce, display internally, translate, adapt, summarize, and create derivative works from your source materials, solely for the purposes described in Section 4. This license is perpetual as to (a) aggregated and anonymized data and insights described in Section 5.3, and (b) ASD's derived work product described in Section 5.4. It terminates as to your raw source materials in accordance with Section 9 following termination of the relationship.

5.3  Aggregated and Anonymized Insights
ASD may use anonymized and aggregated data and insights derived from its portfolio of league partnerships — without identifying you or your league — for product development, benchmarking, market analysis, training ASD's internal models, and operational improvement. Individual Partner data is not disclosed to other partners or external parties in identifiable form.

5.4  ASD's Derived Work Product
Schemas, data models, field mappings, entity crosswalks, classification outputs, tier assignments, transformation logic, analytics, pipelines, and other work product that ASD personnel (or ASD-operated AI systems) create by analyzing, mapping, or transforming your source materials are ASD's intellectual property. This includes canonical schema definitions, integration pipelines, and documentation-to-model translations, except to the extent an applicable executed partnership agreement preserves ownership in the underlying source material for you.

5.5  Feedback
If you provide ideas, suggestions, or feedback about ASD's products, services, or processes, you grant ASD a perpetual, irrevocable, royalty-free license to use that feedback without restriction and without obligation to you.

6.  Data Protection and Security
6.1  Security Controls
ASD protects Partner information using encryption at rest (AWS KMS) and in transit (TLS), access controls governed by least-privilege principles and multi-factor authentication, and infrastructure-level security monitoring.

6.2  Access Limitations
Access to your information within ASD is limited to personnel and authorized service providers with a legitimate business need related to your submission, partnership, integration, or support. ASD does not grant broad internal access to Partner data.

6.3  No Passive Scraping or Covert Collection
ASD does not scrape your websites, monitor your external systems, or collect information about your league beyond (a) what you or your representatives intentionally submit to ASD, (b) data made available through licensed APIs or feeds, (c) content posted within ASD-managed collaboration systems, and (d) publicly available information used for standard market research.

6.4  Incident Response
If ASD becomes aware of an unauthorized disclosure or security incident materially affecting your information, ASD will notify you without undue delay and take appropriate remediation steps. Where applicable, ASD will comply with breach notification requirements under GDPR, UK GDPR, CCPA/CPRA, and other relevant laws.

7.  ASD Collaboration Systems (Workspace-Public Content)
7.1  Workspace-Public Content
When you or your representatives join ASD-managed collaboration systems — including Slack channels, Atlassian environments (Confluence, Jira, Bitbucket), or shared Google Drive folders — content that you post, upload, or create within those systems is treated as part of ASD's business records and workspace ("Workspace-Public Content"). ASD may retain, search, review, summarize, analyze, and reuse this content for legitimate business purposes related to your partnership and ASD's operations, subject to applicable law and contract.

7.2  Slack Connect Channels
If your organization participates in a Slack Connect channel shared with ASD, ASD personnel are instructed to treat information you share as confidential within the scope of the business relationship, will not input your Slack Connect content into unapproved or consumer AI tools, and will not use your Slack Connect communications for purposes unrelated to the partnership.

7.3  Anonymization of External Speakers in Derived Artifacts
In derived datasets, FAQ systems, Community Notes outputs, analytics, or knowledge artifacts created from Slack Connect channels or Partner email, ASD may normalize statements from external participants at the organization level rather than naming the individual external speaker.

7.4  What This Does Not Cover
This Section applies only to content you place into ASD-managed systems. It does not apply to your internal communications, your own Slack workspace, your private email, or any other system ASD does not manage.

8.  Bot and Automated Workflow Interactions
8.1  When you or your representatives interact with ASD-operated bots, agents, or automated workflows in ASD-managed environments, ASD may process, record, and retain those interactions and the resulting outputs.

8.2  ASD uses these records for: (a) responding to your request or question; (b) operational memory and knowledge management; (c) product improvement and service quality; and (d) audit and compliance recordkeeping.

9.  Data Retention and Termination
9.1  During the Relationship
ASD retains Partner information for the duration of the active evaluation or partnership and as needed for ongoing integration, support, compliance, and audit purposes.

9.2  Withdrawal of Questionnaire Submission
You may withdraw a questionnaire submission before the evaluation is completed by emailing privacy@altsportsdata.com.

9.3  After Termination of a Partnership
Upon termination of the partnership: ASD will return or delete your source materials within a reasonable period upon written request. ASD retains its derived work product as ASD intellectual property. Anonymized and aggregated data may continue to be used by ASD.

9.4  Data Subject Rights
Individual Partner representatives who are natural persons may have rights under applicable privacy laws to access, correct, delete, restrict, or port their personal information. Contact ASD at the address in Section 18.

10.  Representations, Warranties, and Partner Obligations
10.1  You represent and warrant that you have all rights, licenses, and consents necessary to submit the information and materials you provide.

10.2  You will notify ASD promptly if you become aware that any information you have submitted is inaccurate.

11.  AI Processing Disclosure
11.1  ASD uses AI tools to assist in processing Partner information. AI-assisted outputs are reviewed by ASD human decision-makers before producing any legally significant effect.

12.  Regulatory Compliance
ASD complies with applicable data protection laws including: CCPA/CPRA, GDPR, UK GDPR, PIPEDA, and applicable gambling and sports data regulations.

13.  Confidentiality
13.1  Each party will protect confidential information using at least the same degree of care it uses for its own confidential information.

14.  Disclaimers
14.1  ASD PROVIDES ITS QUESTIONNAIRE, EVALUATION, ONBOARDING, AND COLLABORATION SYSTEMS ON AN "AS IS" AND "AS AVAILABLE" BASIS.

15.  Limitation of Liability
15.1  NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

16.  Indemnification
You will defend, indemnify, and hold harmless ASD from third-party claims arising out of your breach of these Terms.

17.  Term, Termination, and Survival
17.1  These Terms take effect upon your acceptance and continue until terminated.

18.  Governing Law and Disputes
18.1  These Terms are governed by the laws of the State of Delaware, United States.

19.  General
19.1  ASD may update these Terms from time to time.
